“Client”, “You” refer to the individual or business subscribing to our services.
“Services” refers to the AI and automation products and services provided by Digisurge AI, including chatbot setup, development, hosting, and ongoing support.
2. Services Provided
Digisurge AI provides AI chatbot and automation services designed to support and enhance your business operations.
Our services may include but are not limited to:
AI chatbot setup, training, and deployment
Integration with your website or CRM tools
Ongoing optimisation, updates, and support
Specific deliverables and timelines will be agreed upon during the onboarding or setup process.
3. Subscription and Payments
Subscription Requirement
Clients must sign up to an active subscription plan before any chatbot setup, integration, or deployment can begin.Payment Method
All subscriptions are billed via Direct Debit through our approved payment processor.Billing Cycle
Payments are processed on a recurring monthly basis according to the plan selected at sign-up.Changes to Subscription
Clients may upgrade, downgrade, or cancel their subscription at any time (see Section 8).Pro-rata Adjustments
When a subscription is changed or cancelled mid-cycle, charges and refunds will be applied pro-rata to ensure fair billing.
4. Cancellation Policy
You can cancel your subscription at any time by emailing support@digisurge.co.uk.
We will process all cancellation requests within 48 working hours.
5. Client Responsibilities
By using our services, you agree to:
Provide accurate and up-to-date information during setup and subscription.
Use the chatbot and related systems lawfully and in accordance with these Terms.
Not attempt to copy, resell, or reverse-engineer any part of our technology or intellectual property.
6. Intellectual Property
All intellectual property rights, including but not limited to software, code, designs, and materials created by Digisurge AI, remain the property of Digisurge.
Upon full and ongoing subscription payment, the client is granted a non-exclusive, non-transferable licence to use the delivered chatbot and related assets.
7. Confidentiality
Both Digisurge AI and the Client agree to treat all confidential information shared during the course of service as private and not to disclose it to third parties, except where required by law.
8. Limitation of Liability
Digisurge AI is not liable for:
Any indirect, incidental, or consequential damages arising from use of our services.
Losses caused by misuse, misconfiguration, or unauthorised access by the Client or third parties.
Delays or service interruptions caused by factors beyond our control, such as technical failures, internet outages, or force majeure events.
Our total liability under these Terms shall not exceed the total amount paid by the Client in the preceding 3 months of subscription.
9. Termination
Digisurge AI reserves the right to suspend or terminate services if:
Payment has not been received according to the billing cycle.
The service is used in violation of these Terms or applicable laws.
Upon termination, the Client will be responsible for any outstanding payments, and Digisurge AI will provide any completed deliverables that have been paid for.
10. Modifications
We may update these Terms from time to time to reflect changes in our services or policies.
Updated Terms will be published on our website, and continued use of our services constitutes acceptance of the updated Terms.
11. Governing Law
These Terms and Conditions are governed by and interpreted in accordance with the laws of England and Wales.
Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
